1. Introduction

Welcome to PitchNode LLC ("PitchNode," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, platform, software, and services (collectively, the "Services"). By accessing or using PitchNode, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Services.

2. Nature of Services

PitchNode provides strategic, advisory, and software-enabled support related to fundraising readiness, investor research, investor outreach, and investor relations.

PitchNode operates as a structured, time-bound fundraising accelerator. Participation is selective and designed to provide execution support, strategic guidance, and access to tools and processes that assist founders in navigating the capital raising process.

PitchNode does not:

• Guarantee funding or investment outcomes
• Act as an investment adviser, broker-dealer, or placement agent
• Solicit, accept, or place investments on behalf of users

All fundraising decisions, investor communications, and outcomes remain the sole responsibility of the client.

3. No Investment Advice

Any information provided by PitchNode is for informational and strategic purposes only and does not constitute investment, legal, or financial advice.

Nothing on the platform or within the Services should be interpreted as a recommendation to invest, raise capital, or engage in any specific transaction.

4. Client Responsibilities

By using the Services, you agree to:

• Provide accurate, complete, and truthful information
• Act in good faith with investors and third parties
• Comply with all applicable laws and regulations
• Not misrepresent PitchNode's role, services, or involvement

You acknowledge that successful outcomes require active participation, responsiveness, and collaboration.

5. Fees and Payments

Fees, payment schedules, and engagement terms are discussed and agreed upon separately in writing prior to the commencement of Services.

Unless otherwise stated in writing:

• Fees are non-refundable
• No funding or investment outcomes are guaranteed
• Services may be suspended or terminated for non-payment

6. Intellectual Property

All content, software, branding, systems, and materials provided by PitchNode remain the exclusive property of PitchNode LLC unless otherwise agreed in writing.

You may not copy, distribute, modify, or reverse engineer any part of the Services without prior written consent.

7. Limitation of Liability

To the maximum extent permitted by law, PitchNode shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to lost revenue, lost funding opportunities, or business interruption.

PitchNode's total liability shall not exceed the total fees paid by the client to PitchNode under the applicable engagement.

8. Termination

PitchNode reserves the right to suspend or terminate access to the Services at its discretion for misuse of the platform, violation of these Terms, or failure to comply with engagement requirements.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Arizona, without regard to conflict-of-law principles.
